Terms and Conditions

Welcome to The Fact Pilot (“we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of our software-as-a-service (SaaS) platform, website, and related services (“the Platform”). By accessing or using the Platform, you agree to comply with these Terms, our Privacy Policy, and all applicable Australian laws and regulations.

1. Eligibility and Account Registration

You must be at least 18 years old and have authority to accept these Terms on behalf of your organisation.
You are responsible for maintaining the confidentiality and security of your account credentials.
You agree to provide accurate, complete, and up-to-date registration information.

2. Subscription, Fees & Payment

Access to the Platform is provided on a subscription basis as described on our website or in your subscription agreement.
Fees are billed in advance and are non-refundable, except as required by Australian Consumer Law.
We reserve the right to change our fees with at least 30 days’ notice.
Failure to pay may result in suspension or termination of your access.

3. Permitted Use

The Platform may only be used for lawful factual investigation and professional purposes in accordance with Australian law. Please refer to our Acceptable Use Policy for further details.
You agree not to:
• Use the Platform for any unlawful or fraudulent activity.
• Copy, modify, reverse engineer, or attempt to extract source code.
• Upload viruses or harmful code.
• Access, use, or interfere with data not belonging to you or your organisation.
• Circumvent, disable, or otherwise interfere with Platform security features.

4. AI-Generated Content and Limitations

The Platform utilises artificial intelligence (AI) to transcribe audio, generate statements and summaries, and suggest follow-up questions.
AI-generated outputs are provided for information and assistance only.
Such outputs may contain errors or omissions and do not constitute legal, professional, or investigative advice.
You are solely responsible for reviewing, verifying, and approving all outputs before reliance, submission to clients, courts, insurers, or regulatory authorities.
We do not accept liability for actions taken in reliance on AI-generated content.

5. Data Security and Privacy

We process, store, and protect your data in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and other applicable laws.
All data is encrypted in transit and at rest.
By default, data is stored securely within Australia.
You are responsible for ensuring all data you upload complies with applicable privacy laws, including obtaining all necessary consents and authorities.

6. User Content

You retain ownership of data and content uploaded to the Platform.
By submitting content, you grant us a licence to use, process, store, and back up such content solely for the purpose of providing services to you.
You are responsible for the accuracy, legality, and compliance of all content you submit.

7. Intellectual Property

All intellectual property in the Platform, software, and materials (excluding user data) remains the property of The Fact Pilot or its licensors.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform as permitted under these Terms.
You may not use our trademarks, branding, or content without our written permission.

8. Termination and Suspension

You may terminate your subscription at any time. Termination will be effective at the end of your current billing period.
We may suspend or terminate your access immediately if you breach these Terms or fail to pay fees.
Upon termination, your access will cease, and we may delete your data after 30 days, except as required by law.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available” to the maximum extent permitted by Australian law.
We do not warrant that the Platform will be uninterrupted, error-free, or meet your requirements.

10. Limitation of Liability

To the extent permitted by law, The Fact Pilot excludes all liability for any indirect, incidental, special, or consequential loss, including loss of data or business interruption, arising from use of the Platform or reliance on AI-generated outputs.
Our liability for breach of any term, guarantee, warranty, or condition implied by law is limited (at our option) to resupplying the Platform or the cost of such resupply.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (ACL).

11. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or Platform notice.
Continued use of the Platform after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
Any dispute will be subject to the exclusive jurisdiction of the courts of New South Wales.
